General Terms and Conditions of Sale for Cutting Tools

1. Validity
The following terms apply exclusively to every order we receive. Any exception or amendment to these general terms of sale — in particular specific conditions requested by the Customer — is valid only if agreed in writing.
These terms of sale are binding on both parties for every order accepted by Tusa Precision Tools SA.

2. Prices
Unless otherwise agreed in writing, all prices exclude packaging, VAT and the cost of transport and customs clearance; every shipment is delivered Ex Works (Incoterms 2020).

3. Delivery times
Unless otherwise agreed in writing, the delivery time stated by Tusa Precision Tools SA applies. A delay in delivery does not entitle the Customer to cancel the order or to claim damages.

4. Trasport
Carriage forward; packaging not included.

5. Quantity tolerance
For the production of special tools, the quantity supplied may vary as follows:
• ± 2 pieces for orders of up to 20 pieces.
• ± 3 pieces for orders of 21 to 39 pieces.
• up to 10% for orders of more than 40 pieces.
Invoicing is based on the quantity actually delivered and on the unit prices agreed at the time of the order.

6. Complaints
Any complaint must be submitted in writing within 8 days of the delivery date.
Defective tools will be replaced or refunded at the manufacturer’s discretion.
All contractual and non-contractual liability of Tusa Precision Tools SA is excluded.

7. Payment
Unless otherwise agreed, payment is due within 30 days net.

8. Industrial and intellectual propertyle
Tusa Precision Tools SA is the sole owner of its tools and of the related plans and designs.
Payment of the purchase price does not transfer any industrial or intellectual property rights to the buyer.

9. Changes
Special tools are produced to the latest drawing supplied.
Any change must be notified promptly in writing.
Requested changes may incur additional costs.

10. Governing law
Swiss law (the Swiss Code of Obligations) applies exclusively.
The sole place of jurisdiction is that of Tusa Precision Tools SA, in Lugano.
