General Terms and Conditions for cutting tools

1. Validity
All processed orders are valid exclusively under the following sale conditions. Exceptions or changes to the general sale conditions, in particular specific conditions requested by customers, are valid only if agreed in writing.
These conditions of sale are binding for both parties for all orders accepted by Tusa Precision Tools SA.

2. Prices
Unless previously agreed, all prices are excluding packaging, VAT, transport, and customs clearance costs; each shipment will be arranged ex-works (according to Incoterms 2020).

3. Terms of delivery
In the absence of a written agreement, the delivery time communicated by Tusa Precision Tools SA is the only one to be valid.
Any delay in delivery does not entitle the customer to cancel the order or to ask for a refund.

4. Trasport
Ex-works, packaging not included.

5. Tolerance on quantities
To produce special tools, the quantity supplied can vary as follows:
• +/- 2 pcs. for orders up to 20 pieces.
• +/- 3 pcs. for orders from 21 up to 39 pieces.
• up to 10% for orders over 40 pieces.
Billing is based on the actual quantity delivered and, on the unit price established at the time of the order confirmation.

6. Complaints
Any complaints must be submitted in writing within 8 days from the delivery date of the goods.
Defective tools will be replaced or refunded at the manufacturer’s discretion.
Any contractual and non-contractual liability of Tusa Precision Tools SA is excluded.

7. Payment
Unless otherwise agreed, the payment is at 30 days net.

8. Industrial and intellectual property
Tusa Precision Tools SA is the exclusive owner of its tools and related projects and drawings.
The payment of the sale price does not imply the transfer of industrial and intellectual property to the buyer.

9. Changes
Special tools are produced according to the latest drawing provided.
Any changes must be communicated promptly in writing.
The requested changes could lead to additional costs.

10. Applicable law
Only the Swiss legislation is applicable.
The place of jurisdiction is exclusively that of Tusa Precision Tools SA, located in Lugano.
